1. ACCEPTANCE OF TERMS
Welcome to Bridge The Gap Vending Services. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Bridge The Gap Enterprises LLC ("we," "us," "our," or "Bridge The Gap") governing your use of our website at bridgethegapvending.com (the "Site") and our vending machine services (the "Services").
BY ACCESSING OR USING OUR SITE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you may not access or use our Site or Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. Your continued use of our Site or Services after such changes constitutes acceptance of the modified Terms.

2. DESCRIPTION OF SERVICES
Bridge The Gap provides full-service vending machine solutions, including:
2.1 Services Offered

Installation of vending machines at customer locations

Regular restocking and inventory management

Maintenance and repair of vending machines

Product selection and customization
-
24/7 customer support for machine issues and refunds

Removal of machines upon service termination
2.2 Service Areas
Our Services are currently available in:

North Carolina
-
Virginia
We reserve the right to expand or limit our service areas at any time without notice.
2.3 Equipment Ownership
All vending machines, equipment, and inventory remain the property of Bridge The Gap Enterprises LLC at all times. Customers do not acquire any ownership rights to the equipment or products.

3. ELIGIBILITY
3.1 General Requirements
To use our Services, you must:

Be at least 18 years of age

Have the legal authority to enter into binding contracts

Represent a business, organization, or entity with appropriate authority
-
Have a suitable location that meets our minimum requirements (typically 40+ employees or equivalent foot traffic)
-
Be located within our service areas (North Carolina or Virginia)
3.2 Business Customers
If you are entering into this agreement on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

4. SERVICE AGREEMENTS
4.1 Quote Process

Customers submit a quote request through our Site or by contacting us directly

Bridge The Gap will review the request and schedule a consultation
-
We will assess your location and provide a customized service proposal
-
Upon acceptance, a formal Service Agreement will be executed
4.2 Service Agreement Terms
-
Service Agreements outline specific terms for your location including machine types, product selections, placement, and responsibilities
-
Service Agreements are separate from and supplement these Terms of Service
-
In the event of any conflict between the Service Agreement and these Terms, the Service Agreement shall prevail for matters specifically addressed in the Service Agreement
4.3 No Minimum Contract Term
Currently, there is no minimum contract term required for our Services. However, we reserve the right to implement minimum terms in the future with appropriate notice to existing customers.

5. CUSTOMER RESPONSIBILITIES
5.1 Location Requirements
As a Customer, you agree to:

Provide a suitable, secure indoor location for vending machine(s)

Ensure adequate space (minimum 4-6 inches clearance from walls for ventilation)
-
Provide access to a standard 3-prong electrical outlet (115 volts, 10-12 amps)
-
Maintain a climate-controlled environment when required
-
Ensure the location is accessible to our service personnel during business hours
-
Notify us promptly of any changes to location access or operating hours
5.2 Equipment Care
You agree to:
-
Use the vending machines only for their intended purpose
-
Not tamper with, modify, or attempt to repair equipment
-
Protect equipment from vandalism and damage to the extent reasonably possible
-
Report any malfunctions, damage, or issues promptly
-
Not relocate machines without prior written consent from Bridge The Gap
-
Keep the area around machines clean and accessible
5.3 Security
You agree to:

Provide reasonable security for the equipment
-
Notify us immediately of any theft, vandalism, or significant damage
-
Cooperate with any investigations related to equipment damage or theft

6. PRICING AND PAYMENT
6.1 Free Service Model
Our standard full-service vending program is provided at no cost to qualifying customers. This includes:

Machine installation (no fee)
-
Regular restocking (no fee)
-
Maintenance and repairs (no fee)
-
Machine removal (no fee)
6.2 Product Pricing
-
Vending machine product prices are set by Bridge The Gap
-
We reserve the right to adjust product prices at any time
-
Revenue from product sales belongs to Bridge The Gap
6.3 Customer Refunds

Customers who lose money due to machine malfunction are entitled to refunds
-
Refund requests should be reported through our customer service channels
-
Refunds are generally processed within 7 business days
-
We reserve the right to verify refund requests and may deny fraudulent claims
6.4 Alternative Service Models
In some cases, alternative service arrangements may be available (such as revenue sharing, leasing, or purchase). Such arrangements will be specified in a separate Service Agreement.

7. LIABILITY AND DAMAGES
7.1 Bridge The Gap Liability
We are responsible for:

Machine malfunctions under normal operating conditions

Defective or expired products (we will replace free of charge and refund affected customers)

Repairs and maintenance needed due to normal wear and tear
-
Equipment failures not caused by customer negligence or third-party actions
7.2 Customer Liability
Customers and/or the location signing the Service Agreement are liable for:

Damage caused by misuse, abuse, or tampering with equipment
-
Damage caused by failure to provide appropriate operating environment
-
Theft or vandalism when reasonable security measures were not taken
-
Damage caused by customer's employees, contractors, or invitees
-
Costs associated with relocating machines without prior authorization
-
Any breach of these Terms or the Service Agreement
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Bridge The Gap shall not be liable for any indirect, incidental, special, consequential, or punitive damages
-
Our total liability for any claim arising from or related to our Services shall not exceed the total amount paid by customer for services in the 12 months preceding the claim (or $1,000 if services are provided at no cost)
-
We are not liable for losses resulting from service interruptions, product shortages, or equipment downtime
7.4 Indemnification
Customer agrees to indemnify, defend, and hold harmless Bridge The Gap, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Customer's breach of these Terms or any Service Agreement

Customer's negligence or willful misconduct
-
Third-party claims related to equipment damage caused by Customer
-
Violations of applicable laws or regulations by Customer

8. SERVICE MODIFICATIONS AND TERMINATION
8.1 Modifications to Service
We reserve the right to:

Modify product offerings and selections
-
Adjust restocking schedules based on sales volume
-
Upgrade or replace equipment at our discretion
-
Change operating procedures with reasonable notice
8.2 Termination by Customer
Customers may terminate service by:
-
Providing written notice to Bridge The Gap at admin@bridgethegapbtg.org
-
Currently, no advance notice period is required, but we appreciate reasonable notice to schedule machine removal
-
Ensuring equipment is accessible for removal
-
Settling any outstanding disputes or liabilities
8.3 Termination by Bridge The Gap
We reserve the right to terminate service immediately or with notice if:

Customer breaches these Terms or the Service Agreement
-
The location no longer meets minimum requirements (e.g., reduced employee count)
-
Equipment is being damaged, misused, or tampered with
-
Sales volume does not justify continued service
-
Customer fails to provide reasonable access for restocking and maintenance
-
Customer engages in fraudulent or illegal activities
8.4 Effect of Termination
Upon termination:

Bridge The Gap will schedule equipment removal within reasonable timeframe
-
Customer must ensure equipment access for removal
-
Any outstanding liabilities or damages must be settled
-
Customer data will be handled according to our Privacy Policy

9. INTELLECTUAL PROPERTY
9.1 Bridge The Gap Property
All content on our Site, including text, graphics, logos, images, software, and other materials, is the property of Bridge The Gap Enterprises LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our Site for personal or business purposes related to our Services. You may not:

Copy, modify, distribute, or reproduce any content without permission

Use our trademarks, logos, or branding without written consent

Reverse engineer or attempt to extract source code from our Site

Use automated systems or bots to access our Site
9.3 Trademarks
"Bridge The Gap," "Bridge The Gap Vending," and associated logos are trademarks of Bridge The Gap Enterprises LLC. Unauthorized use is prohibited.

10.2 User Submissions
By submitting information through our quote request form or other communications:

10.3 Site Availability
We strive to maintain Site availability but do not guarantee:

Uninterrupted or error-free operation

That defects will be corrected

That the Site is free from viruses or harmful components
We reserve the right to modify, suspend, or discontinue any aspect of our Site at any time.

11. PRODUCT QUALITY AND SAFETY
11.1 Product Standards
We are committed to providing quality products and will:

Monitor product expiration dates and rotate inventory

Replace expired or defective products promptly

Provide refunds for defective products purchased by customers

Maintain machines in clean, sanitary condition
11.2 Allergens and Dietary Information

Product packaging contains manufacturer allergen and ingredient information

We are not responsible for individual allergic reactions or dietary restrictions

Customers should read product labels carefully before consumption
11.3 Product Complaints
To report product quality issues:

We will investigate and respond within 2 business days

12. PRIVACY AND DATA PROTECTION

13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
13.2 Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms or our Services shall be brought exclusively in the state or federal courts located in Wake County, North Carolina. You consent to the personal jurisdiction of these courts.
13.3 Informal Resolution
Before filing any formal claim, you agree to contact us at admin@bridgethegapbtg.org to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.
13.4 Time Limitation
Any claim or cause of action arising from or related to these Terms or our Services must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.
13.5 No Class Actions
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. FORCE MAJEURE
Bridge The Gap shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (natural disasters, severe weather)

War, terrorism, civil unrest

Government actions or regulations
-
Labor disputes or strikes
-
Supply chain disruptions
-
Pandemics or public health emergencies
-
Utility failures or infrastructure problems
During such events, our obligations will be suspended for the duration of the force majeure event.

15. MISCELLANEOUS PROVISIONS
15.1 Entire Agreement
These Terms, together with any Service Agreement and our Privacy Policy, constitute the entire agreement between you and Bridge The Gap regarding our Services and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.
15.5 No Third-Party Beneficiaries
These Terms are for the benefit of Bridge The Gap and you only, and do not create any third-party beneficiary rights.
15.6 Survival
Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive termination of these Terms.
15.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
15.8 Electronic Communications
You consent to receive communications from us electronically, including emails and notices posted on our Site. You agree that electronic communications satisfy any legal requirement that communications be in writing.

You agree to comply with all applicable federal, state, and local laws and regulations in connection with your use of our Services.
